These Terms of Service ("Terms") govern your access to and use of the DispatchTxt platform ("Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and your organization ("Customer").
1. Account Responsibilities
- You must provide accurate information at signup and keep it current.
- You are responsible for all activity under credentials issued to your organization.
- You must promptly deactivate access for anyone who leaves your organization.
- You may not share credentials or resell access to the Service without our written consent.
2. Billing and Cancellation
- Subscriptions are billed monthly in advance via Stripe.
- Message overages, MMS (metered at 3× SMS), dispatcher-seat overages, and phone-number overages are billed at the rates published on the pricing page.
- You may cancel at any time from the billing portal. Cancellation stops the next renewal; fees already paid for the current period are non-refundable except where required by law.
- We may suspend the Service for non-payment after reasonable notice.
3. Acceptable Use
You agree not to use the Service to:
- Send unsolicited marketing messages or messages without prior express written consent from the recipient.
- Send content that is unlawful, harassing, deceptive, or that violates carrier policies.
- Send messages related to prohibited content categories (e.g. SHAFT — sex, hate, alcohol, firearms, tobacco — where not permitted; high-risk financial services; illegal substances).
- Attempt to bypass rate limits, opt-out enforcement, or spend caps.
- Reverse-engineer, scrape, or overload the platform.
4. Messaging Policy — Twilio & Carrier Requirements
The Service transmits SMS/MMS via Twilio. Your use of the messaging features is subject to and incorporates by reference:
- Twilio's Acceptable Use Policy.
- Twilio's Messaging Policy.
- Our SMS & A2P Messaging Disclosure.
A violation of any of the above is also a violation of these Terms and may result in immediate suspension.
5. TCPA and Consent
Customer is solely responsible for obtaining and documenting prior express written consent, where required by the Telephone Consumer Protection Act ("TCPA") and applicable state law, from every recipient before sending any message through the Service. Customer must honor STOP, UNSUBSCRIBE, CANCEL, END, and QUIT requests (which the platform enforces automatically) and must not attempt to re-solicit an opted-out number without a new, freshly captured START/UNSTOP request from the recipient.
Customer indemnifies DispatchTxt against any claim arising out of Customer's non-compliance with the TCPA, CAN-SPAM, state consumer-protection statutes, or carrier messaging policies.
6. Data
Data handling is described in our Privacy Policy. Customer owns its message and account data; DispatchTxt processes it as a service provider.
7. Service Availability
We aim for high availability but do not guarantee uninterrupted service. Message delivery ultimately depends on carriers and is not guaranteed.
8. Disclaimers & Limitation of Liability
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees paid by Customer in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
9. Termination
We may suspend or terminate the Service for material breach of these Terms, for carrier-mandated reasons, or for violations of Twilio's Acceptable Use or Messaging Policies. On termination, Customer's access ends and data is retained per the retention schedule in the Privacy Policy.
10. Changes
We may update these Terms. Material changes will be announced by email or in-app notice. Continued use after the effective date constitutes acceptance.
11. Governing Law
These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict-of-laws principles.
